We are Zorythivencus (“Company”, “we”, “us”, or “our”), a business registered in South Africa.

We operate the website https://zorythivencus.com (the “Site”), offering an online portfolio investing course (the “Service”). Our Service provides educational content and resources, priced at $200–$500 depending on the selected plan, to help you learn about portfolio investing in South Africa.

These Terms and Conditions (“Terms”) form a legally binding agreement between you, whether an individual or entity (“you”), and Zorythivencus regarding your use of the Service. Zorythivencus provides an online course to educate users about portfolio investing in South Africa. The course, priced at $200–$500, includes lessons, resources, and tools to help you evaluate investment opportunities. The Service is educational and does not provide financial advice or make investment decisions on your behalf.

The Service is intended for use by individuals or entities in compliance with South African laws. If you access the Service from another jurisdiction, you are responsible for ensuring compliance with local laws. The Service is not tailored to comply with industry-specific regulations beyond South African consumer and data protection laws.

2. Intellectual Property Rights

Our Intellectual Property

We own or license all intellectual property rights in the Service, including the Site’s design, text, graphics, logos, course materials, and resources (collectively, “Content”). These are protected by South African copyright, trademark, and other intellectual property laws.

You are granted a non-exclusive, non-transferable, revocable license to access the Service and use the Content for personal, non-commercial purposes related to your course enrollment. Any feedback, questions, or suggestions you provide about the Service (“Submissions”) may be used by us without compensation. You grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and distribute your Submissions for improving our Service.

Any breach of these intellectual property terms may result in termination of your access to the Service.

4. Purchases and Payment

The course is priced at $200–$500, depending on the selected plan, payable via the following methods:

  • Apple Pay

You agree to provide accurate payment information and authorize us to charge your selected payment method for the course fee. All prices are in US dollars, and applicable taxes (e.g., VAT) will be added as required by South African law. We may adjust prices at our discretion, but confirmed enrollments will be honored at the agreed rate.

We reserve the right to refuse or cancel enrollments if we suspect fraud, unauthorized use, or non-compliance with these Terms.

5. Cancellation and Refund Policy

You may cancel your course enrollment within 14 days of purchase for a full refund, as per the Consumer Protection Act, provided you have not accessed more than 10% of the course content. After 14 days or if more than 10% of the content has been accessed, refunds are at our discretion.

To cancel, contact us at [email protected]. Refunds will be processed to the original payment method within 10 business days.

We may cancel access to the course due to unforeseen circumstances (e.g., technical issues). In such cases, you will receive a full refund or alternative access options.

6. Prohibited Activities

You may only use the Service for its intended purpose (enrolling in and accessing the course). Prohibited activities include:

  • Attempting to access or extract data from the Site without permission.
  • Misrepresenting your identity or providing false information.
  • Using the Service to harass, defame, or harm others.
  • Interfering with the Site’s security or functionality (e.g., introducing viruses or hacking).
  • Sharing or reselling course access or materials.
  • Violating any South African laws or regulations.

Violation of these restrictions may result in termination of your access to the Service.

7. User Generated Contributions

The Service may allow you to submit feedback, reviews, or other content (“Contributions”). By submitting Contributions, you warrant that:

  • Your Contributions do not infringe third-party rights (e.g., copyright, privacy).
  • You have the necessary permissions to submit the Contributions.
  • Your Contributions are accurate and not misleading.

Contributions may be visible to other users or third parties and are treated as non-confidential. We are not responsible for the content of your Contributions.

8. Contribution License

By submitting Contributions, you grant us a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, and distribute your Contributions for purposes related to the Service, such as marketing or improving our offerings. This license includes the use of your name or company name, if provided.

You retain ownership of your Contributions but waive any moral rights to the extent permitted by law. We may edit or remove Contributions at our discretion if they violate these Terms.

The Site may link to third-party websites or services (e.g., payment processors). We are not responsible for the content, policies, or practices of these third parties. Your use of third-party services is at your own risk, and you should review their terms and privacy policies.

10. Service Management

We may modify or discontinue the Service at any time without notice. We are not liable for any loss or inconvenience caused by such changes, interruptions, or unavailability due to maintenance, technical issues, or other reasons.

14. Governing Law

These Terms are governed by the laws of South Africa. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of South African courts, subject to the dispute resolution process below.

15. Dispute Resolution

Informal Resolution

Formal Resolution

If informal resolution fails, disputes will be resolved through mediation or arbitration in Johannesburg, South Africa, under the rules of the Arbitration Foundation of Southern Africa (AFSA). You agree to waive any right to pursue class-action proceedings.

Exceptions

Disputes involving intellectual property rights, privacy violations, or claims for injunctive relief may be resolved in South African courts rather than arbitration.

16. Corrections

The Service may contain errors or inaccuracies (e.g., pricing or course details). We reserve the right to correct such errors and update information without notice.

17. Disclaimer

The Service is provided “as is” without warranties, express or implied. We do not guarantee the accuracy, completeness, or suitability of the information provided in the course.
